About These Terms
Please read these Terms of Service carefully before using the products and services offered by Field Assembly LLC ("Field Assembly," "we," "us," or "our"), a Massachusetts limited liability company. These Terms govern your access to and use of our website at fieldassembly.net and our products, including Back Ops, Shim, and GroundTruth.
By creating an account, accessing, or using our services, you agree to be bound by these Terms. If you are using our services on behalf of a business, you represent that you have authority to bind that business to these Terms.
1. Acceptance of Terms
By accessing or using Field Assembly's services, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you do not agree to these Terms, you may not use our services.
These Terms, along with our Privacy Policy, form the entire agreement between you and Field Assembly regarding your use of our services.
Geographic scope
Our products and services are offered exclusively to residents of the United States. By accessing or using our services, you represent that you are located in and a resident of the United States. We do not offer our products in any other jurisdiction and make no representation that our services comply with the laws of any country or territory outside the United States. Our payment systems are configured to accept transactions from United States customers only. If you access our services from outside the United States, you do so at your own risk and are responsible for compliance with any applicable local laws.
2. Description of Services
Field Assembly builds products and services for people navigating property decisions and managing property-related work. Our current offerings:
- Back Ops: A managed back-office service for home improvement contractors. Operators turn raw contractor input (texts, photos, voice notes) into finished deliverables: estimates, proposals, change orders, and client communications.
- Shim: Transaction document analysis for homebuyers. Turns inspection reports, HOA packages, and termite reports into clear analysis and repair-request letters.
- GroundTruth: Environmental baseline reports for properties, produced by a GIS analyst from federal data sources. Covers flood zones, contamination history, wildfire exposure, wetland boundaries, and protected land designations.
We may update, expand, or discontinue features at any time. We will provide reasonable notice of significant changes that affect your use of a paid service.
3. Accounts and Registration
Some features of our products require you to create an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately at [email protected] if you believe your account has been compromised
- Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that contain inaccurate information or that we believe have been used in violation of these Terms.
4. Acceptable Use
You may use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use our services in any way that violates applicable federal, state, local, or international laws or regulations
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorized access to any part of our services, servers, or networks
- Interfere with or disrupt the integrity or performance of our services
- Use automated means (bots, scrapers, crawlers) to access our services without our prior written consent
- Transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
- Use our services to generate documents intended to defraud, deceive, or harm others
5. Your Content
Our products allow you to create, store, and manage documents and other content ("Your Content"). You retain all ownership rights to Your Content.
By using our services, you grant Field Assembly a limited, non-exclusive, royalty-free license to store, process, and display Your Content as necessary to provide the services to you.
Aggregated and anonymized data
In addition to the license above, you acknowledge and agree that Field Assembly may derive aggregated, anonymized, or de-identified data from Your Content and from your use of the services ("Aggregated Data"). Aggregated Data does not identify you personally, does not identify specific properties you own or manage, and cannot reasonably be used to reconstruct Your Content. Where required by applicable privacy law, Aggregated Data meets the "deidentified" standard: it is processed with technical safeguards designed to prevent re-identification, is subject to internal business processes that prohibit re-identification, and any third-party recipients are contractually prohibited from attempting to re-identify individuals or properties. Field Assembly may use Aggregated Data for any lawful business purpose, including to improve our products, develop market benchmarks, publish cost indices, build regulatory reference databases, create intelligence products, and conduct research. Field Assembly owns all Aggregated Data and may use it during and after the term of your account. For clarity, Aggregated Data includes statistical patterns, cost ranges, geographic trends, and category-level distributions derived from data across multiple users, but does not include any individual user's documents, property records, or personal information.
No machine learning training on Your Content
We do not use Your Content to train general-purpose machine learning or artificial intelligence models. The Aggregated Data rights described above do not grant us the right to use your individual documents, proposals, or other materials as training data.
Enhanced data contributions (optional)
Certain features may allow you to contribute structured data to shared intelligence services, such as pricing benchmarks or professional verification programs. These contributions are always optional, clearly identified at the time of contribution, and governed by a separate consent that you may revoke at any time through your account settings. If you revoke consent, we will stop including your future data in the relevant program, though previously aggregated data that has already been anonymized and incorporated into aggregate datasets will remain part of those datasets.
You are solely responsible for Your Content and represent that you have all rights necessary to provide it to us. You agree not to create or store content that is unlawful, infringes on third-party rights, or violates these Terms.
5A. Data Intelligence Services
Field Assembly may offer data intelligence products and services derived from Aggregated Data as defined in Section 5. These may include market rate benchmarks, cost indices, regulatory reference databases, property risk assessments, and other analytical products.
Data intelligence products are built from aggregated patterns across many users and properties. They do not expose or enable identification of individual users, individual properties, or individual transactions.
If you participate in an optional enhanced data contribution program as described in Section 5, the specific terms of your participation (including what data is contributed, what benefits you receive, and how to withdraw) will be presented to you at the time you opt in and will be accessible in your account settings.
Field Assembly's right to produce and distribute data intelligence products survives termination of your account, but only with respect to Aggregated Data that was derived during the period your account was active and that has been irreversibly anonymized.
Accuracy limitations
Data intelligence products derived from Aggregated Data are statistical estimates based on patterns across our user base. They are subject to limitations of sample size, geographic coverage, and data recency. Field Assembly makes no warranty, express or implied, regarding the accuracy, completeness, currency, or fitness for any particular purpose of any intelligence product. Intelligence products are provided for informational purposes only. They do not constitute professional appraisals, property valuations, regulatory determinations, or financial advice, and should not be used as the sole basis for any transaction, investment, or professional decision.
6. Intellectual Property
The Field Assembly name, logo, website, and our products (including all software, designs, text, graphics, and other content we create) are owned by or licensed to Field Assembly LLC and are protected by copyright, trademark, and other intellectual property laws.
These Terms do not grant you any right to use our trademarks, logos, or other brand features without our prior written consent. You may not copy, modify, distribute, or create derivative works from our software or website content except as expressly permitted by applicable law or with our written permission.
7. Payment and Billing
Some of our products are offered on a paid subscription basis. By subscribing, you agree to pay the fees described at the time of purchase.
Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Payment is processed through our third-party payment processor. You authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period; you will retain access to paid features through that date.
Refunds
We offer a 14-day refund on new subscriptions if you are not satisfied. After 14 days, payments are non-refundable except where required by law. Please contact [email protected] to request a refund.
Price changes
We may change our pricing at any time. For existing subscribers, we will provide at least 30 days' notice before a price change takes effect.
8. Disclaimers
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Field Assembly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content generated by our tools. Documents generated by our products are provided as a starting point and you are responsible for reviewing them for accuracy before use.
Our products are not a substitute for legal, financial, or professional advice. Any documents generated by our tools should be reviewed by a qualified professional where appropriate.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Field Assembly LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages.
In no event shall our total liability to you for all claims arising out of or relating to these Terms or the use of our services exceed the greater of (a) the amount you paid to Field Assembly in the 12 months preceding the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Field Assembly LLC and its officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.
11. Termination
You may stop using our services and close your account at any time by contacting us at [email protected] or through your account settings.
We may suspend or terminate your access to the services, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or if required by law. Upon termination, your right to use the services ends immediately.
Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, and governing law) will survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in Massachusetts. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our services after the effective date of the revised Terms constitutes your acceptance of the changes.
If you do not agree to the updated Terms, you must stop using the services before the effective date of the changes.
